Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Prometheus mobile application, website at enterprometheus.com, and any related services (together, the "Service"). The Service is operated by Alfa Technology Recruitment Ltd, a company registered in England and Wales under company number 14231768 ("Prometheus", "we", "us", "our").

By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree, you must not use the Service.

1. Eligibility

To use the Service, you must:

be at least 18 years old;
have the legal capacity to enter into a binding contract in your jurisdiction;
be a founder, co-founder, or executive of a software company (or be applying to join with the intention of fundraising or offering introductions in good faith);
hold a valid LinkedIn account that accurately represents your identity and professional background; and
not be barred from using the Service under the laws of the United Kingdom or your country of residence.

Prometheus reserves the right, at its sole discretion, to accept, reject, or revoke membership at any time and for any lawful reason.

2. Accounts and Authentication

You create an account by signing in with LinkedIn. You authorise LinkedIn to share your profile information with us for the purposes of verification, onboarding, and pre-populating your Prometheus profile.

You are responsible for all activity that occurs under your account. You must maintain the confidentiality of your login credentials and notify us immediately at alfie@welovealfa.com if you suspect unauthorised access.

You agree that the information you provide to Prometheus is accurate, current, and complete, and that you will update it as necessary.

3. Membership and Tiers

The Service offers the following membership tiers:

Member (free): limited daily connects, the ability to chat within matches, and to exchange warm introductions.
Pro ($497 per month): unlimited daily connects, up to 30 direct messages per calendar month, and the ability to see who has connected with you.

Pricing, features, and limits may be updated from time to time. Material changes to pricing of an active subscription will be communicated in advance in accordance with the cancellation rights in Section 5.

4. Billing and Payment

All paid subscriptions are processed through Apple's In-App Purchase system. When you subscribe, payment is charged to the Apple ID associated with your device in accordance with Apple's terms and conditions (including the Apple Media Services Terms and Conditions). Your subscription is managed by Apple, not by Prometheus.

Subscriptions renew automatically at the end of each billing period at the then-current price unless auto-renewal is turned off at least 24 hours before the end of the current period. Renewal charges are made to your Apple ID within 24 hours prior to the end of the current period. You can manage subscriptions, view billing information, and turn off auto-renewal at any time in your Apple ID account settings.

Applicable taxes (including VAT where relevant) are collected by Apple in accordance with Apple's policies. Prices shown in the Service are exclusive or inclusive of tax as indicated at the point of purchase.

If Apple is unable to charge your Apple ID, your subscription may be suspended or downgraded to the free tier until payment is successfully collected.

5. Cancellation and Refunds

Because all subscriptions are purchased through Apple, cancellations, billing disputes, and refund requests are managed by Apple in accordance with its policies. You may cancel your subscription at any time by turning off auto-renewal in your Apple ID account settings. Cancellation takes effect at the end of your current billing period; you retain access to the paid features until then.

Refund requests must be submitted to Apple via reportaproblem.apple.com or your device's App Store account. Prometheus is not able to issue refunds directly for Apple-processed subscriptions.

Except where required by law, subscription fees are non-refundable once the billing period has started. If you are a consumer in the United Kingdom or European Economic Area, you may have statutory rights to cancel within 14 days of your first subscription; however, by using paid features during that period you expressly consent to the immediate supply of digital content and acknowledge that you thereby lose the statutory right of withdrawal to the extent the service has been performed. Any such statutory rights must be exercised through Apple.

6. Member Conduct

You agree that you will not, and will not attempt to:

impersonate any person or misrepresent your identity, role, company, or qualifications;
use the Service for any purpose other than legitimate fundraising, partnership, and professional-networking activity consistent with the Service's stated purpose;
use the Service to market, solicit, or sell goods or services to other members outside the scope of warm investor introductions (including, without limitation, recruitment services, consulting services, or outsourced development);
harass, threaten, defame, or abuse any other member;
post, transmit, or share content that is unlawful, defamatory, obscene, discriminatory, infringing, or otherwise harmful;
share confidential or non-public information you are not authorised to disclose;
circumvent, disable, or interfere with security-related features of the Service;
scrape, copy, or harvest data about other members; or
use the Service to violate any applicable law or third-party right.

7. The Reciprocity Principle

Prometheus is built on reciprocity. Membership is contingent on your willingness to offer warm introductions to investors where you reasonably can, in exchange for introductions you receive. Members who repeatedly request introductions without making reasonable effort to offer introductions of similar value in return ("taking without giving") may be warned, downgraded, or removed from the Service at our sole discretion. Prometheus is not required to prove harm; persistent one-sided use is sufficient basis for action.

8. Reporting and Investigations

The Service provides a mechanism to report other members for breaches of these Terms, including breaches of Section 6 or Section 7. Reports are reviewed by Prometheus on a best-effort basis, typically within 48 hours. We may, at our discretion and without prior notice, investigate reports, suspend accounts during investigation, and remove members from the Service. Reporting in bad faith is itself a breach of these Terms.

9. User Content

"User Content" means any content you submit to the Service, including profile information, photos, messages, introduction proposals, and any other data. You retain all ownership in your User Content.

You grant Prometheus a worldwide, royalty-free, non-exclusive licence to host, store, copy, modify, display, and transmit your User Content solely to the extent necessary to operate, maintain, and improve the Service, to comply with legal obligations, and to enforce these Terms.

You represent and warrant that you have all rights necessary to submit your User Content and to grant this licence, and that your User Content does not violate any third-party right or applicable law.

10. Introductions and Fundraising — No Guarantees

The Service facilitates introductions between members, but Prometheus:

does not guarantee that you will receive any specific introduction, match, or outcome;
does not guarantee any fundraising outcome, investor interest, deal, term sheet, or investment;
does not endorse, verify, or take responsibility for any member, investor, fund, or third party, and makes no representation regarding their identity, conduct, or suitability; and
is not party to any relationship, agreement, or transaction that may arise between members, or between members and investors.

You are solely responsible for conducting your own diligence, complying with applicable securities and financial-promotion laws (including, where applicable, the UK Financial Services and Markets Act 2000 and the rules of the Financial Conduct Authority), and for all communications and agreements you enter into.

11. Prometheus AI

The Service includes an artificial-intelligence agent ("Prometheus AI") which provides responses over chat and live video. Prometheus AI is provided for informational and coaching purposes only. It is not a substitute for professional legal, financial, tax, or investment advice. Output from Prometheus AI:

may contain errors, omissions, or outdated information;
is generated based on your inputs and may reflect biases or limitations of the underlying model;
should not be relied upon for regulatory, legal, or financial decisions; and
is not financial promotion or a recommendation of any security, investor, or fund.

You use Prometheus AI at your own risk. Conversations with Prometheus AI may be processed by third-party providers (including, currently, Google and Tavus) solely to generate a response.

12. Third-Party Services

The Service integrates with third-party providers, including but not limited to LinkedIn (authentication and profile), Apple (app distribution, subscriptions, and in-app purchases), Supabase (data hosting), Google Gemini and Tavus (AI coach), Resend (transactional email), and Expo (mobile delivery and push notifications). Your use of these integrations is subject to the applicable third-party terms and privacy policies. Prometheus is not responsible for the acts, omissions, or content of any third party.

13. Privacy

Our collection and use of personal data is described in our Privacy Policy, which is incorporated by reference into these Terms.

14. Intellectual Property

The Service, including its software, design, trademarks, text, and layout (but excluding User Content), is owned by or licensed to Prometheus and is protected by intellectual-property laws in the United Kingdom and internationally. Except as expressly permitted in these Terms, you may not copy, modify, distribute, sell, lease, reverse-engineer, or create derivative works of any part of the Service.

We grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your personal and professional use in accordance with these Terms.

15. Suspension and Termination

We may suspend or terminate your account and access to the Service, with or without notice and without refund, if we reasonably believe you have breached these Terms, are using the Service unlawfully, pose a risk to other members, or for any other lawful reason.

You may terminate your account at any time by deleting it through the in-app account settings. Upon termination, your profile, matches, and messages may be deleted; certain records may be retained where required for legal, accounting, or legitimate-interest purposes.

16. Disclaimer of Warranties

To the maximum extent permitted by law, the Service is provided "as is" and "as available", without warranty of any kind, whether express, implied, or statutory, including the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, error-free, or free of harmful components, or that any content (including matches, introductions, or AI output) will meet your expectations.

Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any liability which cannot lawfully be excluded.

17. Limitation of Liability

To the maximum extent permitted by law, Prometheus, its officers, employees, agents, and affiliates shall not be liable for any indirect, incidental, consequential, special, or punitive damages, or for any loss of profits, revenue, data, business, goodwill, or opportunity (including any lost investment, round, or deal), howsoever arising.

Our aggregate liability to you for any claim arising out of or relating to the Service shall not exceed the greater of (a) the total amount you have paid to us in the twelve (12) months immediately preceding the event giving rise to the claim, or (b) £100.

18. Indemnification

You agree to indemnify and hold harmless Prometheus and its officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with (a) your access to or use of the Service; (b) your User Content; (c) your breach of these Terms; or (d) your violation of any third-party right or applicable law.

19. Changes to These Terms

We may update these Terms from time to time. If the changes are material, we will notify you via email or in-app notice a reasonable time in advance. Your continued use of the Service after the effective date of the updated Terms constitutes your acceptance of them. If you do not agree to the updated Terms, you must stop using the Service.

20. Governing Law and Jurisdiction

These Terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of England and Wales. You and Prometheus agree that the courts of England and Wales shall have exclusive jurisdiction, except that nothing in this Section shall prevent a consumer resident in the European Economic Area from bringing proceedings in the courts of their country of residence where required by mandatory law.

21. General

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Prometheus regarding the Service. If any provision is held to be unenforceable, the remainder shall continue in full force and effect. Our failure to enforce any right or provision shall not constitute a waiver. You may not assign these Terms without our prior written consent; we may assign them in connection with a merger, acquisition, or sale of assets.
